Provider: Helping Trades LLC, a Florida limited liability company

These Service Terms (the "Terms") are an agreement between Helping Trades LLC ("Helping Trades," "we," "us") and the business customer who accepts them ("you," "Client"). By checking the box at checkout, paying the $49 preview fee, or otherwise accepting these Terms, you agree to them. Checking that box is your electronic signature under the federal E-SIGN Act and Florida's UETA (Fla. Stat. ch. 668).

These Terms are a draft pending Helping Trades' approval. They are not legal advice and have not been reviewed by a licensed attorney.

1. The service

We provide a website and related tools for trades businesses, as described for the plan you choose:

Pro — $149/month Premium — $249/month
Website, hosting and a domain (ownership: see §6) Included Included
24/7 AI phone receptionist 100 AI minutes/month 300 AI minutes/month
Missed-call text-back, website chat and online booking Included Included
Google Business Profile setup and review-request tools Included Included
Spanish-speaking AI answering — Included
Past-customer reactivation campaigns — Included
Local SEO help — Included
Priority human support line — Included

AI minute overage: $0.25 per AI minute over your plan's monthly allowance. Unused minutes do not roll over. [Minute rollover: pending John]

We may improve or adjust features that don't change the core of your plan. Material cuts to your plan need your consent or 30 days' notice and a chance to cancel.

2. $49 preview reservation

The $49 start fee reserves a preview build of your site.

[Silent-client rule: pending John] If you don't approve or ask for a refund within 14 days after we deliver the preview, we may close the preview and refund the $49 on request. We will not start monthly billing without your approval.

3. Billing, renewal and cancellation

Auto-renewal note: We disclose renewal and cancel rights clearly even though Florida's automatic-renewal statute (Fla. Stat. 501.165) is aimed at consumer contracts and generally excludes people buying for their business. Cancel the same way you signed up (online or by email).

4. 30-day money-back guarantee

If you're not happy, you can get a full refund of everything you've paid us (the $49 start fee, your first monthly fee, and any later monthly fees) if you ask by the end of day 30 of service. No reason is required.

How it works
- Day 1 is the date you approve your preview and your site goes live. [Day 1 definition (D1a): pending John]
- Deadline: 11:59 PM Eastern Time on day 30.
- How to ask: email [Support email: pending John] with the subject line "Refund request", or use the cancel link in your client portal and choose "Refund request." Your request counts when we receive it before the deadline.
- Refund: to the original card (or payment method) within 10 business days after we receive your request.
- What happens next: your service ends and your site goes offline when we issue the refund. What happens to the domain is governed by §6. [Site content after refund (D1d): pending John]
- One guarantee per business. [Per business or per owner (D1c): pending John]
- What's included: all fees paid to Helping Trades, including AI minute overage charges and domain registration costs. [Overage and third-party cost treatment (D1b): pending John]

If you don't ask by the deadline, you agree to continue at your plan's contracted monthly price (Pro $149/month, Premium $249/month, or the plan you signed up for), month-to-month, and you can still cancel anytime under §3. Fees paid after day 30 are not refundable except as the law requires.

5. Your content and licenses

You confirm you have the rights to the logos, photos, text, reviews and other materials you give us. You're responsible for your contractor and business licenses (including Fla. Stat. ch. 489 if it applies to you) and for the claims on your site. We don't verify your licenses.

You grant us a limited license to use your materials to build and run the service. Our templates, code, tools and platform stay ours. You get a license to use your live site while you're a paying client. On cancellation, once your account is paid in full, we'll give you an export of your site content on request. Domains are handled under §6.

Reviews: you won't use the service to ask only for positive reviews or to offer incentives based on the rating. We may refuse review-request settings that break Google or FTC rules.

6. Domains

Default: Helping Trades is the registrant. Unless you make the Opt-In Ownership election below, any domain we register for your service is registered in Helping Trades' name. While you're a client, we grant you a license to use that domain for your site. We will not use, sell, lease or redirect that domain to a competitor of yours, or to advertise competing services, during your service or after it ends.

Opt-In Ownership (client as registrant). At sign-up (checkbox) or later by written request to [Support email: pending John], you may elect Opt-In Ownership. Under that election, the domain is registered in your business's name, with Helping Trades as technical/DNS contact so we can keep the site online. Registrar fees may be billed to you or passed through.

Domains you already own. If you already own a domain and point it at our service, you stay the registrant. You only give us the DNS access needed to run the site. We never take that registration.

On cancellation or after a §4 refund (Helping Trades–owned domains). Your site goes offline. You may buy out and transfer the domain to your own registrar account if:
- your account is paid in full (or the refund under §4 has been completed), and
- you meet any minimum client period [Minimum period (D13a): pending John], and
- you pay a flat transfer fee of $25.

We will send the transfer authorization / EPP code within [Business days (D13c): pending John] of receiving a written transfer request that meets those conditions.

If you don't claim a Helping Trades–owned domain within [Days after cancellation or refund (D13d): pending John], we may let the registration lapse or keep it unused. We will not redirect it to a competitor or sell it for use against you.

On cancellation (Opt-In Ownership or client-owned domains). You keep the registration. We remove our nameservers after an export window and hand over any remaining DNS help you reasonably need for a short handoff.

7. AI receptionist, calls and texts

AI disclaimer

The receptionist is an automated AI assistant, not a human. It may misunderstand callers, misquote prices or availability, book the wrong job, or make other mistakes. It is not for emergencies (fire, medical, crime — callers should dial 911). You remain responsible for the jobs you accept, the advice and quotes you give customers, and for reviewing AI scripts, greetings and booking rules. We don't guarantee any number of booked jobs, revenue or reviews.

Recording

Where calls are recorded or transcribed, the AI (or our system) will disclose that at the start of the call, as Florida all-party consent law requires. If a caller objects, we stop recording or end the call where the product allows.

Texts and calls to your customers

Helping Trades sends missed-call text-backs, booking confirmations and (on Premium or when enabled) review-request or reactivation messages on your behalf. For those messages:

7A. Our own marketing calls, texts and emails to you

This section covers messages Helping Trades sends about its own services to business owners and leads (for example, people who use our missed-call cost calculator), not messages we send for clients under §7.

8. Availability

We aim for reliable service but don't guarantee uninterrupted, error-free or virus-free service. Third-party networks, carriers, Google, Stripe and hosting providers can fail. Outages don't entitle you to a refund except as we agree in writing or under the 30-day guarantee in §4.

9. Limitation of liability

To the extent the law allows:

Some states don't allow certain limits; if that applies to you, some of this section may not apply.

10. Indemnity

You'll defend and reimburse Helping Trades and its managers and agents against third-party claims, damages and reasonable legal costs arising from: (a) content you provide; (b) claims and offers on your site; (c) your licensing or regulatory status; (d) your use of the service in violation of these Terms or the law; or (e) texts, calls or lists you directed us to use without required consent.

11. Acceptable use

You won't use the service to break the law, send spam, infringe others' rights, interfere with the platform, or reverse-engineer our tools. We may suspend service for serious or repeated violations after notice when practical.

12. Changes to these Terms

We may update these Terms. For material changes, we'll give at least 30 days' notice by email or in-product notice. If you keep using the service after the change takes effect, you accept the new Terms; if you don't agree, cancel before then.

13. Assignment

You may not assign these Terms without our written consent. We may assign them to a successor in a sale or reorganization of Helping Trades. These Terms bind permitted successors.

14. Governing law and disputes

Florida law governs these Terms, without conflict-of-law rules. You and we agree to the exclusive jurisdiction of the state or federal courts in Palm Beach County, Florida, for disputes we can't resolve informally.

[Jury and class waiver: pending John] Each party waives a jury trial. Claims must be brought only in an individual capacity, not as a class or representative action. (You may still bring a claim in small-claims court if it qualifies.)

15. Notices

Notices to Helping Trades go to [Support email: pending John] and to 21278 Bellechasse Ct, Boca Raton, FL 33433. Notices to you go to the email on your account. Email notice is effective when sent, if no bounce is received.

16. Entire agreement; severability

These Terms, your plan selection, and our Privacy Policy are the entire agreement for the service and replace prior discussions on this subject. If a court strikes one part, the rest stays in force. A waiver of one breach isn't a waiver of later ones.
